Terms of Use

These Terms of Use ("Terms") govern your access to and use of BizPadi's mobile application, marketplace website, and related services (collectively, the "Platform"). By creating an account or using the Platform, you agree to these Terms. If you do not agree, do not use BizPadi.
1. Definitions
- "BizPadi," "we," "us" refers to BizPadi Inc., the operator of the Platform.
- "Seller" refers to a user who has created a business account and lists products or services on the Platform.
- "Buyer" refers to a user who browses, purchases, or interacts with sellers on the Platform.
- "User" refers to any person who accesses or uses the Platform, whether as a Seller, Buyer, or guest.
2. Eligibility
- You must be at least 18 years old to create an account.
- You must be located in Ghana to use the Platform's marketplace, payment, and business features.
- By creating a Seller account, you represent that you have the legal authority to conduct business in Ghana.
3. Account Registration
- You must provide accurate, current, and complete information during registration.
- You are responsible for maintaining the confidentiality of your account credentials.
- You are responsible for all activity that occurs under your account.
- You must notify us immediately at support@bizpadi.app if you suspect unauthorized access to your account.
4. Platform Services
4.1 For Sellers
BizPadi provides tools for:
- Inventory management and product listings
- Invoice creation and payment collection
- Public business profile and marketplace storefront
- Customer management and bookkeeping
- AI-powered business assistant
- Sales analytics and reports
4.2 For Buyers
BizPadi provides:
- Product browsing and search across the marketplace
- Direct messaging with sellers
- Secure invoice-based payments
- Buyer protection and dispute resolution support
- Saved products and payment history
4.3 Guest Access
Users may browse the marketplace, view products, and view business profiles without creating an account. An account is required to chat with sellers, save products, make payments, or access any personalized features.
5. Seller Obligations
- Accurate listings: sellers must ensure that product descriptions, images, prices, and availability are accurate and not misleading.
- Fulfillment: sellers are responsible for delivering products and services as described to buyers.
- KYC verification: sellers must complete identity verification (Ghana Card) when requested. This information is used for seller accountability and may be shared with law enforcement in cases of fraud or unresolved disputes.
- Lawful conduct: sellers must not list prohibited items, counterfeit goods, or engage in fraudulent activity.
- Tax compliance: sellers are solely responsible for their tax obligations. BizPadi provides invoicing tools but does not file taxes on your behalf.
6. Buyer Obligations
- Accurate information: buyers must provide accurate contact and payment information.
- Good faith: buyers must not file fraudulent reports or abuse the dispute resolution system.
- Payment: by initiating a payment, you authorize BizPadi and its payment processor (Paystack) to charge the specified amount plus the Buyer Protection fee.
7. Payments and Fees
7.1 Payment Processing
All payments on BizPadi are processed through Paystack. BizPadi does not directly store credit card or mobile money account details. Payment processing is subject to Paystack's terms of service.
7.2 Buyer Protection Fee
A 2.5% Buyer Protection fee is applied to every payment processed through BizPadi. This fee is:
- Displayed transparently as a separate line item on every invoice before payment.
- Paid by the buyer — sellers are not charged this fee.
- Non-refundable, except in cases where BizPadi issues a full refund of the transaction.
The Buyer Protection fee covers payment processing costs and funds BizPadi's dispute resolution and seller accountability services.
7.3 Seller Payouts
Payments received by sellers are credited to their BizPadi balance. Sellers may withdraw funds to their registered bank or mobile money account, subject to any pending dispute holds.
7.4 Currency
All transactions on BizPadi are conducted in Ghana Cedis (GHS).
8. Dispute Resolution and Buyer Protection
8.1 Reporting Issues
Buyers may report issues (e.g., non-delivery, product not as described) through the Platform's reporting system. Sellers are expected to respond to reports promptly and work toward resolution.
8.2 BizPadi's Role
BizPadi acts as a facilitator, not a party to transactions. In the event of a dispute:
- We will attempt to mediate between the buyer and seller.
- If the seller has not yet withdrawn the disputed amount, we may freeze or deduct the amount from the seller's BizPadi balance to issue a refund to the buyer.
- If the seller has already withdrawn the funds and the dispute cannot be resolved, we will assist the buyer in filing a report with Ghana Police Service if requested, using the seller's verified identity (Ghana Card) information.
8.3 Account Suspension
BizPadi reserves the right to suspend or terminate a seller's account for repeated disputes, fraudulent activity, violation of these Terms, or failure to cooperate in dispute resolution. Suspended sellers will be notified via email with the reason for suspension.
8.4 Limitations
BizPadi is not a guarantor, insurer, or escrow agent. We do not hold funds on behalf of buyers. Payments go directly to sellers. Our buyer protection service is a best-effort mediation and accountability service, not a guarantee of refund.
9. Prohibited Activities
You must not:
- Use the Platform for any unlawful purpose or in violation of Ghanaian law.
- List counterfeit, stolen, illegal, or restricted items.
- Impersonate another person or misrepresent your identity or affiliation.
- Manipulate prices, reviews, or search results.
- Attempt to circumvent payment processing (e.g., directing buyers to pay outside BizPadi to avoid the Buyer Protection fee).
- Use automated tools, bots, or scrapers to access the Platform.
- Interfere with the Platform's security, performance, or other users' experience.
- File fraudulent dispute reports or abuse the buyer protection system.
- Send spam, unsolicited messages, or harassing content through the messaging system.
10. Intellectual Property
- The BizPadi brand, logo, app design, and original content are the property of BizPadi Inc.
- Sellers retain ownership of their product images, descriptions, and business content. By listing on BizPadi, sellers grant us a non-exclusive, worldwide license to display this content on the Platform.
- Users must not copy, reproduce, or distribute any BizPadi content without written permission.
11. AI Assistant
BizPadi's AI business assistant uses your business data (inventory, sales, customer patterns) to provide insights and suggestions. By using the AI assistant:
- You acknowledge that AI-generated responses are informational and should not be treated as professional financial, legal, or tax advice.
- Your queries and business context are sent to a third-party AI service for processing. We do not use your data to train AI models.
- BizPadi is not liable for decisions made based on AI assistant output.
12. Product Deletion and Data Preservation
When a seller deletes a product, the product is archived (soft-deleted) rather than permanently removed. This preserves:
- Existing conversations between buyers and sellers about that product.
- Invoice records and payment history associated with the product.
- Evidence needed for any ongoing or future disputes.
Deleted products will no longer appear in the marketplace or search results. Sellers cannot create new invoices for deleted products.
13. Limitation of Liability
- BizPadi is a technology platform that connects buyers and sellers. We are not a party to transactions between users.
- We do not guarantee the quality, safety, legality, or delivery of any product or service listed on the Platform.
- To the maximum extent permitted by Ghanaian law, BizPadi's total liability to you for any claims arising from your use of the Platform shall not exceed the total fees you have paid to BizPadi in the 12 months preceding the claim.
- BizPadi is not liable for indirect, incidental, special, or consequential damages arising from your use of the Platform.
14. Indemnification
You agree to indemnify and hold harmless BizPadi, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Platform, your violation of these Terms, or your violation of any third-party rights.
15. Termination
- You may terminate your account at any time by contacting support@bizpadi.app.
- BizPadi may suspend or terminate your account for violation of these Terms, at our sole discretion.
- Upon termination, your right to use the Platform ceases immediately. Outstanding payment obligations survive termination.
16. Governing Law
These Terms are governed by and construed in accordance with the laws of the Republic of Ghana. Any disputes shall be resolved in the courts of Ghana.
17. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes via in-app notification or email. Continued use of BizPadi after changes constitutes acceptance of the updated Terms.
